1. Scope and Provider

These Terms of Service ("Terms") govern the use of the Semvec library and any associated paid licenses ("Pro", "Enterprise") provided by Versino PsiOmega GmbH, Nymphenburger Str. 4, 80335 München, Germany ("Provider", "we", "us"). By installing the package or activating a license, you agree to these Terms.

2. Product Description

Semvec is a patent-pending persistent semantic state engine distributed as a Python package via PyPI. It compresses LLM conversation history into a fixed-size semantic state and provides multi-agent coordination (Cortex) and coding-agent persistence modules. The package contains compiled Rust binaries (closed-source core) and Python bindings (proprietary). The core is licensed under a proprietary license; see the LICENSE file shipped with the wheel.

3. Community, Pro, and Enterprise Tiers

3.1 The Community tier is available without purchase. It is rate-limited to 5 QPS / 50 burst as enforced by the local license verifier.
3.2 Pro and Enterprise licenses raise the rate limits and unlock additional retrieval modes. They are issued as Ed25519-signed JWTs and verified locally; there is no runtime phone-home.
3.3 Paid licenses are billed as agreed in the order form. Prices are in EUR and exclude applicable taxes (VAT/MwSt.).
3.4 We reserve the right to change pricing for new license terms with at least 30 days written notice. Existing licenses keep their pricing for the agreed term.

4. License Grant

4.1 You are granted a non-exclusive, non-transferable, revocable license to install and run Semvec for your own use (or, in the case of Pro/Enterprise, the use scope agreed in the order form), for the duration of the license term.
4.2 You may not redistribute the compiled binaries, reverse-engineer the Rust core, or extract the proprietary algorithms. License key sharing is prohibited.
4.3 The Community tier may be used for evaluation, internal development, and small-scale production within the rate limits.

5. Your Data and Workloads

5.1 You retain all rights to your input data, embeddings, conversation content, and outputs.
5.2 The library runs entirely on your infrastructure. We do not collect telemetry; license verification is local.
5.3 You are responsible for complying with the terms of any third-party LLM providers, embedders, or storage backends you integrate with.
5.4 You agree not to use the library to process data in violation of applicable laws.

6. Support

6.1 Pro and Enterprise tiers include support via support@versino.de within the response times agreed in the order form.
6.2 Security issues should be reported to security@versino.de.
6.3 Community-tier users have no formal support entitlement; community channels (issues, discussions) are best-effort.

7. Cancellation and Termination

7.1 Pro and Enterprise licenses run for the term agreed in the order form and can be terminated at the end of the term with the agreed notice period.
7.2 We may terminate licenses for material breach (e.g. license-key sharing, redistribution of binaries) with immediate effect.
7.3 On termination, you must stop using the paid features. The Community tier remains usable.

8. Liability

8.1 We are liable without limitation for damages caused by intent or gross negligence, and for injury to life, body, or health.
8.2 For slight negligence, we are liable only for breach of material contractual obligations (Kardinalpflichten), limited to foreseeable, contract-typical damages, capped at the fees paid in the preceding 12 months.
8.3 Outputs of LLM-based pipelines you build with Semvec are not guaranteed for accuracy, completeness, or fitness for any particular purpose. You are responsible for verifying outputs before relying on them.
8.4 Liability under the German Product Liability Act (Produkthaftungsgesetz) remains unaffected.

9. Updates and Versioning

9.1 We publish new versions to PyPI on our own cadence. License terms may differ between major versions; the LICENSE file shipped with each wheel is authoritative.
9.2 You decide when (and whether) to upgrade. There is no forced auto-update.

10. Intellectual Property

10.1 The Semvec engine, its technology (patent pending; application EP 25 188 105.8 filed at the European Patent Office), and all associated intellectual property remain the exclusive property of Versino PsiOmega GmbH.
10.2 The "Semvec" and "Semvec Cortex" names and logos are trademarks of Versino PsiOmega GmbH.

11. Applicable Law and Jurisdiction

11.1 These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
11.2 For B2B customers, the exclusive place of jurisdiction is Munich, Germany.
11.3 For consumers within the EU, mandatory consumer protection provisions of their country of residence apply in addition.

12. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced by a valid provision that most closely reflects its economic purpose.

13. Changes to These Terms

We may modify these Terms with at least 30 days prior written notice. Continued use of paid licenses after the effective date constitutes acceptance. You may cancel before the new terms take effect.
